Article 1: Acceptance of Terms

1.1 Agreement to Terms

By accessing, downloading, installing, or using ReddGrow (the “Service”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you may not access or use the Service.

1.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the Service, and by updating the “Effective Date” above. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

1.3 Additional Terms

Certain features of the Service may be subject to additional terms and conditions, which will be presented to you at the time of use. Those additional terms are incorporated into these Terms by reference.

1.4 Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Article 2: Service Description and Nature of Relationship

2.1 Overview

ReddGrow is a software tool — a Chrome extension and web dashboard — that assists you in discovering relevant Reddit discussions, drafting marketing content, and managing your own Reddit marketing workflow. ReddGrow does not operate, control, or act on your behalf on Reddit or any other platform. You, the user, are at all times the operator of your own Reddit account and the sole actor in any interaction with Reddit.

ReddGrow’s features include:

  • Discovery of relevant Reddit discussions in your target subreddits
  • AI-assisted comment drafting for your review and approval
  • Comment queue management to organize your own posting workflow
  • Analytics and performance tracking
  • Subreddit monitoring and brand mention tracking

2.2 ReddGrow Is a Tool, Not an Actor

ReddGrow provides software that assists human users in their own marketing activities. ReddGrow LLC does not post content, vote, comment, browse, or otherwise act on Reddit. All actions on Reddit are taken by you, the user, using your own Reddit account, under your own direction and control. ReddGrow has no agency, presence, or liability on any third-party platform including Reddit.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

2.4 Beta Features

The Service may include beta features that are experimental and subject to change. Beta features are provided “as is” without warranty of any kind.

Article 3: Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account password and for restricting access to your computer or device. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Prolonged inactivity
  • Non-payment of subscription fees

You may terminate your account at any time by contacting customer support or through your account settings.

Article 4: Reddit Account — You Are the Operator

4.1 You Own and Control Your Reddit Account

Your Reddit account is your own. You created it, you own it, and you are solely responsible for all activity that occurs through it. By connecting your Reddit account to ReddGrow, you are not granting ReddGrow any ownership, control, or agency over your account. You are using ReddGrow’s software as a tool to assist your own marketing activities. At all times, you are the operator.

You represent and warrant that:

  • You own or have full authorization to use the Reddit account(s) you connect to ReddGrow
  • You have read and agree to Reddit’s Terms of Service, Content Policy, and User Agreement
  • You are using the Service to support your own marketing activities, not on behalf of ReddGrow
  • You take full responsibility for every action taken through your Reddit account, regardless of whether that action was suggested, facilitated, or assisted by ReddGrow

4.2 Your Sole Responsibility for Reddit Compliance

You are solely and exclusively responsible for ensuring that all activity conducted through your Reddit account — including any activity facilitated, suggested, or assisted by ReddGrow — complies with Reddit’s Terms of Service, Content Policy, User Agreement, and all subreddit-specific rules. ReddGrow is a software tool; it has no ability to evaluate, enforce, or guarantee compliance with Reddit’s policies.

By using the Service, you expressly acknowledge:

  • ReddGrow provides drafting assistance and workflow tools only; it does not provide legal advice, compliance advice, or platform-policy guidance
  • ReddGrow has no control over Reddit’s enforcement decisions or account actions
  • Any violation of Reddit’s policies arising from your Reddit activity is your sole responsibility
  • ReddGrow expressly disclaims all liability for any determination by Reddit that your account or activity violates Reddit’s rules

4.3 You Accept All Platform Risk

You knowingly and voluntarily accept all risks associated with marketing activity on Reddit, including the risk that Reddit may restrict, suspend, or permanently ban your account. You agree that:

  • Reddit account actions (warnings, suspensions, bans) are your sole liability
  • ReddGrow has no obligation to compensate you for any Reddit account action
  • ReddGrow has no obligation to prevent, appeal, or remedy any Reddit enforcement action
  • You will not bring any claim against ReddGrow arising from Reddit’s treatment of your account

4.4 Revocation

You may disconnect your Reddit account from ReddGrow at any time through your account settings or through Reddit’s app authorization settings.

4.5 Your Authorization and Instruction

By connecting your Reddit account and using the Service, you explicitly authorize and instruct ReddGrow to access your Reddit account solely at your direction, solely to perform the functions you initiate through the Service. This access occurs under your authorization and on your instruction as the account holder. You are the principal; ReddGrow is your technical tool acting only under your explicit direction. You may revoke this authorization at any time by disconnecting your account as described in Section 4.4.

Article 5: User Content and Conduct

5.1 User Content

You retain ownership of all content you create, upload, or submit through the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.

5.2 You Are Solely Responsible for All Content You Post

ReddGrow generates draft content suggestions. You decide what to post. Every piece of content published to Reddit or any other platform through the Service is posted by you, under your account, at your direction. ReddGrow does not publish content — you do.

You are solely and exclusively responsible for all content you post, and you represent and warrant that:

  • You have independently reviewed, edited if necessary, and made the final decision to post every piece of content
  • You own or have all necessary rights to post your content
  • Your content does not violate any applicable law, regulation, or third-party rights
  • Your content and posting activity comply with Reddit’s Terms of Service, Content Policy, User Agreement, and applicable subreddit rules
  • You are not relying on ReddGrow’s AI-generated suggestions as legal, compliance, marketing, or platform-policy advice
  • ReddGrow’s provision of draft suggestions does not constitute direction, instruction, or participation in your posting activity

5.3 Prohibited Conduct

You agree not to use the Service to:

  • Post spam, unsolicited promotions, or repetitive content
  • Engage in vote manipulation or artificial inflation of engagement metrics
  • Impersonate any person or entity, or misrepresent your affiliation
  • Harass, threaten, defame, or intimidate others
  • Post illegal, fraudulent, or misleading content
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to circumvent any security measures or access restrictions
  • Scrape, crawl, or use automated means to access Reddit beyond the Service’s intended functionality
  • Use the Service to promote or facilitate illegal activities
  • Post content that infringes intellectual property rights

5.4 Enforcement

We reserve the right, but are not obligated, to monitor User Content and remove or refuse to post any content that violates these Terms or that we deem objectionable in our sole discretion.

Article 6: You Are the Operator — ReddGrow Is the Tool

6.1 Independent Operation

You use ReddGrow as an independent operator of your own Reddit marketing activities. ReddGrow does not direct your marketing strategy, control your Reddit accounts, determine what content you post, or manage your relationships with Reddit communities. All decisions about how to use Reddit — what to post, where to post, when to post, and how often — are made exclusively by you.

6.2 No Agency, No Partnership

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and ReddGrow. You are an independent operator using a software tool. ReddGrow is not your agent, partner, or co-participant in your Reddit activities. ReddGrow has no authority to act on your behalf, and you have no authority to act on ReddGrow’s behalf.

6.3 Your Representations as Operator

By using the Service, you represent and warrant that:

  • You are using ReddGrow as a tool to support your own independent marketing activities
  • You make all final decisions about what content to post and when
  • You operate your Reddit account(s) in accordance with Reddit’s rules and your own judgment
  • Any content posted through your account is posted by you as the account holder, not by ReddGrow
  • You will not represent to Reddit, any regulator, or any third party that ReddGrow directed, instructed, or caused you to post any specific content

6.4 No Liability Transfer

Agreeing to these Terms does not transfer any liability from you to ReddGrow. If your Reddit activity results in claims, enforcement actions, or damages, you remain solely liable. These Terms establish the scope of ReddGrow’s software license to you; they do not insulate you from consequences arising from how you choose to use that software.

Article 7: Subscription and Payment

7.1 Subscription Plans

ReddGrow offers various subscription plans with different features and usage limits. Current plan details, pricing, and features are available on our website.

7.2 Payment Terms

  • Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan).
  • Payment Method: You must provide a valid payment method to maintain an active subscription.
  • Authorization: By providing payment information, you authorize us to charge your payment method for all applicable fees.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

7.3 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will take effect at the start of your next billing period after we notify you. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

7.4 Refund Policy

  • Free Trial: We may offer a free trial period for new subscribers. You will not be charged until the trial period ends.
  • Cancellation: You may cancel your subscription at any time, and you will continue to have access to the Service until the end of your current billing period.
  • No Refunds: Subscription fees are non-refundable, except as required by law or as expressly stated in these Terms.
  • Exceptions: Refunds may be provided at our sole discretion for extenuating circumstances, such as service outages or billing errors.

7.5 Late Payment

If payment is not received by the due date, we may suspend or terminate your access to the Service until payment is made.

Article 8: Intellectual Property Rights

8.1 Service Ownership

The Service, including all software, designs, graphics, text, and other content (excluding User Content), is owned by ReddGrow and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Subscription License

Subject to these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable subscription license to access and use the Service during your subscription term, solely for your own internal business purposes. This is a subscription license — it authorizes your use of the Service during the paid term only and does not transfer any ownership of, or permanent rights in, the Service to you. Upon termination or expiration of your subscription, this license immediately ceases.

8.3 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or modify any proprietary notices or labels
  • Use the Service to create a competing product or service
  • Frame or mirror any part of the Service without our written permission

8.4 Trademarks

“ReddGrow” and our logo are trademarks of ReddGrow, Inc. You may not use our trademarks without our prior written consent.

8.5 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use and implement such feedback without any obligation or compensation to you.

Article 9: AI-Generated Content — Suggestions Only

9.1 Drafts Are Suggestions, Not Instructions

ReddGrow uses AI to generate draft content suggestions to assist your marketing workflow. These are suggestions only. ReddGrow does not direct you to post any specific content, and the provision of a draft does not constitute a recommendation, instruction, or endorsement to post that content. You are under no obligation to use any draft generated by the Service.

You acknowledge that:

  • AI-generated drafts may not be accurate, appropriate, contextually suitable, or compliant with platform rules
  • You are solely responsible for independently evaluating every draft before posting
  • ReddGrow does not review, approve, or take responsibility for content you post using the Service

9.2 You Make All Posting Decisions

All posting decisions are made by you, under your own judgment and authority. ReddGrow has no involvement in, control over, or responsibility for your decision to post or not post any content. We are not responsible for any consequences — including Reddit account actions, reputational harm, business losses, or third-party claims — arising from any content you post using the Service.

9.3 No Guarantee of Results

We do not guarantee that AI-generated content will result in any particular level of engagement, conversions, or business outcomes. Marketing results vary based on numerous factors outside our control.

9.4 Generated Content Provided As-Is

All AI-generated drafts, keyword suggestions, brand descriptions, subreddit recommendations, competitor analysis, and analytics insights are provided “as is” and “as available,” without warranty of accuracy, completeness, fitness for any particular purpose, or compliance with any platform’s rules. ReddGrow makes no representation that any generated content is appropriate, effective, or compliant with Reddit’s policies. You assume all risk arising from your reliance on or use of any content generated by the Service.

Article 10: Disclaimers and Limitations of Liability

10.1 Service “As Is”

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Warranty

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or other harmful components
  • Results obtained from using the Service will be accurate or reliable
  • Your Reddit account will not be suspended or banned

10.3 Third-Party Platforms

The Service operates alongside third-party platforms including Reddit. ReddGrow has no affiliation with, endorsement from, or control over Reddit or any other third-party platform. We are not responsible for the availability, performance, policies, or enforcement decisions of any third-party platform. Reddit’s terms, rules, and enforcement actions are entirely outside ReddGrow’s control.

10.4 No Liability for Your Platform Activity

REDDGROW SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY ACTIONS YOU TAKE ON REDDIT OR ANY OTHER PLATFORM USING THE SERVICE, INCLUDING BUT NOT LIMITED TO: CONTENT YOU POST, ACCOUNTS YOU OPERATE, COMMUNITIES YOU ENGAGE WITH, OR ANY CONSEQUENCES ARISING FROM YOUR PLATFORM ACTIVITY. YOUR USE OF THIRD-PARTY PLATFORMS IS ENTIRELY AT YOUR OWN RISK AND SUBJECT TO THOSE PLATFORMS’ OWN TERMS AND ENFORCEMENT PRACTICES.

10.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REDDGROW, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or content
  • Cost of substitute services
  • Reddit account suspension or ban
  • Personal or reputational harm

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10.6 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Article 11: General Provisions

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall be resolved through:

Informal Negotiation: Before initiating formal proceedings, you agree to contact us to seek informal resolution.

Arbitration: If informal negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Small Claims Court: You may choose to pursue your claim in small claims court instead of arbitration if your claim qualifies.

11.3 Indemnification

You agree to indemnify, defend, and hold harmless ReddGrow, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service, including all Reddit activity conducted through your account
  • Any content you post to Reddit or any other platform using the Service
  • Your violation of Reddit’s Terms of Service, Content Policy, or any other third-party platform’s rules
  • Any action taken by Reddit or another platform against your account
  • Any claim by a third party that your Reddit activity constitutes spam, manipulation, impersonation, or any other policy violation
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations

This indemnification obligation survives termination of your account or these Terms.

11.4 ReddGrow Indemnification

Subject to these Terms, ReddGrow will indemnify, defend, and hold you harmless from and against third-party claims asserting that the Service itself, as delivered by ReddGrow and used in accordance with these Terms, infringes a third party’s patent, copyright, trademark, or trade secret (“IP Claim”).

ReddGrow’s indemnification obligations under this section do not apply to IP Claims arising out of or related to: (a) your User Content or content you post to Reddit or any other platform; (b) your activity on Reddit or any third-party platform; (c) any modification to the Service made by you or any third party; (d) your use of the Service in combination with any product, service, or data not provided by ReddGrow; (e) your failure to use updates provided by ReddGrow; or (f) use of the Service in a manner not authorized by these Terms.

This section states ReddGrow’s entire liability, and your sole remedy, for any IP Claims.

11.5 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

11.6 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.7 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations without restriction.

11.8 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features of the Service, constitute the entire agreement between you and ReddGrow regarding the Service and supersede all prior agreements and understandings.

11.9 Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11.10 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

11.11 Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the Office of Foreign Assets Control.

11.12 Government Use

If you are a U.S. government entity, the Service is a “commercial item” as defined in FAR 2.101, and use of the Service is governed by these Terms.

11.14 Notice to California Residents
